Who owns the Club

We've been members for 3 years now & my far better half recently asked who owns the club, the answer to which I didn't know. So who does own the club?

    With  a membership organisation its more a case of who is responsible  for it rather than who owns it.  The Executive Committee I guess have that responsibility.

    I imagine (only a guess) that the club is a company limited by guarantee Most guarantee companies are not-for-profit companies - that is, they do not distribute their profits to their members but either retain them within the company or use them for some other purpose. 

    The main reason. to be a company limited by guarantee is to protect the people running the company from personal liability for the company's debts, just as a business may be set up as a company limited by shares for the same reason.  

    Again I'm guessing that if CC ltd went under the assets would be sold off to service any debt but not sure what would happen to any residue

    If you scroll down to the bottom of the page you'll find "about us" or click on further links to find the same subject. In this area are the articles of association which describe how CAMC operates this includes the finance operations and procedures. About us also includes the club history etc.

    I asked this question some years back and my post was soon removed, so come on directors let’s have some answers after all it is members money that has made the club what it is today

    I doubt it can be answered, Pathfinder, as it would depend on the insolvency laws in force at the time as well as the terms of the Articles of Association.

    In reality, I doubt there would be any residue after sale of assets to service debts as, if there were, the company would not be insolvent and would/could carry on trading albeit with fewer assets.

     Interesting reading, Were the articles updated when the  re-branding occurred? Or has the club not bothered.

    They didn’t need to bother. The company running the club is still The Caravan Club Ltd. Any other name is merely a trading name.

    Agreed in terms of legal entity, but should they not have made the inclusion of "and motorhomers" in section "4  Object" of the articles to reflect the Club's current aims?

    Surely the terms "caravanning" and "caravanners" encompasses everyone whether they use a towed caravan or a motorised caravan?

    If you really want to split hairs, you could also question the omission of trailer tents.😗

    I don’t really care who “owns” the Club , but I know it won’t be me liable for anything if it went pear shaped ..........

    That's why the majority of clubs in the UK are registered  as Ltd companies, as that protects the ordinary members against any financial costs ,if the club goes into liquidation

    The time to worry will be when CC Ltd gets bought by some faceless hedge fund from the Cayman Islands and we all end up sold into slavery or something.

    Are you thinking what happened to the AA and RACundecided

    It's not as if this and the ccc have not been "looked at"surprised

    It would need the membership to agree,

    As with the above clubs , the members found to their cost, how poor the short term gain to them was (not just the absence  of salutes surprised

    I am not sure I am uninterested in who owns the Club but I do find it a somewhat abstract discussion because like you if its doing what I want it to do the ownership doesn't really impact on me. I also find it hard to imagine that the Club would be worth much to any Hedge Fund as say compared to the AA with a reputed 15 million members the CMC is most certainly small fry. At the end of the day it is really the members who are in control because if they don't like what is happening they don't have to renew their membership. For the faint hearted who think there is nothing else in the camping world outside the Club I have the disturbing news that yes there is and if the Club no longer existed as we know it the world won't come to an end!!!
